General Terms and Conditions

The following definitions shall have the same meaning regardless of whether they appear in singular or in plural.

For the purposes of these Terms and Conditions:

Country refers to United Arab Emirates.
Company (referred to as either “the Company”, “Manzzil”, “We”, “Us” or “Our” in this Agreement) refers to Manzzil LLC, Unit No: [ ] Dubai UAE.
Currency refers to AED (United Arab Emirates Dirhams). All transactions will be conducted in United Arab Emirates in AED. Manzzil is not liable for any loss due to currency conversion or related bank charges.
Device means any device that can access the Service such as a computer, a cellphone or a digital tablet..
Service refers to the Website.
Terms and Conditions (also referred to as “Terms”) mean these Terms and Conditions that form the entire agreement between you and the Company regarding the use of the Service.
Third-party Social Media Service means any services or content (including data, information, products or services) provided by a third party that may be displayed, included or made available by the Service.
Website refers to www.manzzil.com (“Website”).
You refers to the individual accessing or using the Service or the Company/ legal entity on behalf of which the individual is accessing or using the Service, as applicable.

These Terms and Conditions set out the rights and obligations of all users regarding the use of the Service.
Your access to and use of the Service is also conditioned on Your acceptance of and compliance with the Privacy Policy of the Company. Our Privacy Policy describes our policies and procedures on the collection, use and disclosure of your personal information when you use the Application or the Website and tells you about your privacy rights and how the law protects you. These terms and conditions (“Agreement”) set forth the general terms and conditions of your use of the www.manzzil.com website (“Website” or “Service”) and any of its related products and services (collectively, “Services”).
Our Website will serve as a one-stop shop for all household needs such as purchasing a service (home design, remodeling, handyman services, cleaning services, etc.), or simply getting inspired by pictures of projects uploaded to the Website by professional designers, architects and contractors. Manzzil connects: 1. End users – Individuals who want to purchase a service, product or get inspired by browsing through different photos / projects; and 2. Professionals – Individuals who work in the industry and want to showcase their work and connect with customers.
This Agreement is legally binding between you (“User“, “you” or “your“) regardless of whether he or she is a Seller, Buyer or other registered user or unregistered user and Manzzil (“Manzzil“, “we“, “us” or “our“). By accessing and using the Website and Services, you acknowledge that you have read, understood, and agree to be bound by the terms of this Agreement even though it is an electronic agreement and is not physically signed by you. If you are entering into this Agreement on behalf of a business or other legal entity, you represent that you have the authority to bind such entity to this Agreement (in which case the terms “User”, “you” or “your” shall refer to such entity). If you do not have such authority, or if you do not agree with the terms of this Agreement, you must not accept this Agreement and may not access and use the Website and Services.

You must be at least 18 years of age to use the Website and Services. By using the Website and Services and by agreeing to this Agreement you warrant and represent that you are at least 18 years of age. If you create an account on the Website, you are responsible for maintaining the security of your account and you are fully responsible for all activities that occur under the account and any other actions taken in connection with it. We may monitor and review new accounts before you may sign in and start using the Services to ensure compliance with all terms and conditions. Providing false contact information of any kind may result in the termination of your account. You must immediately notify us of any unauthorized uses of your account or any other breaches of security. We will not be liable for any acts or omissions by you, including any damages incurred as a result of such acts or omissions. We may suspend, disable or delete your account (or any part thereof) if we determine that you have violated any provision of this Agreement or that your conduct or content would tend to damage our reputation and goodwill. If we delete your account for the foregoing reasons, you may not re-register for our Services. We may block your email address and Internet protocol address to prevent further registration.

We do not own any data, information or material (collectively, “Content”) that you submit on the Website in the course of using the Service. You shall have sole responsibility for the accuracy, quality, integrity, legality, reliability, appropriateness, and intellectual property ownership or right to use of all submitted Content. We may monitor and review the Content on the Website submitted or created using our Services by you. You grant us permission to access, copy, distribute, store, transmit, reformat, display and perform the Content of your user account solely as required for the purpose of providing the Services to you. Without limiting any of those representations or warranties, we have the right, though not the obligation, to, in our own sole discretion, refuse or remove any Content that, in our reasonable opinion, is irrelevant to Manzzil or violates any of our policies or is in any way harmful or objectionable. You also grant us the license to use, reproduce, adapt, modify, publish or distribute the Content created by you or stored in your user account for commercial, marketing or any similar purpose.

As part of Manzzil’s Acceptable Use Policy, you agree not to use the information, Services or any other part of Manzzil to take any action or actions that:

1. are contrary to Manzzil’s public image, goodwill or reputation;
2. promote any illegal activity or content, including without limitation child or animal abuse, violence, illegal drug use, and underage drinking;
3. infringe on our or any third party’s copyright, patent, trademark, trade secret or other proprietary rights or rights of publicity or privacy;
4. express or imply that any of your statements, activities or causes are endorsed by us, without our prior written consent in each instance;
5. violate any applicable law, statute, ordinance or regulation, or encourage any conduct that could constitute a criminal offense or give rise to civil liability;
6. are libelous, defamatory, threatening, harassing, invasive of privacy, abusive, tortious, hateful, discriminatory, pornographic or obscene;
7. transmit any trade secrets or other material, non-public information about any person, company or entity without the authorization to do so;
8. restrict or inhibit any other visitor from using Manzzil, including, without limitation, by means of “hacking” or defacing any portion of the Website;
9. modify, adapt, sub-license, translate, sell, reverse engineer, decompile, or disassemble any portion of Manzzil;
10. remove any copyright, trademark, or other proprietary rights notices contained in Manzzil;
11. sublicense, sell, rent, lease, transfer, assign, or convey any rights under the Terms to any third party, or otherwise commercially exploit or profit from the information or content of Manzzil or any portion thereof, in any manner whatsoever, except as expressly permitted herein;
12. “frame” or “mirror” any part of Manzzil without our prior written authorization;
13. distribute any virus, worm or other similar or deleterious files, scripts or programming routines;
14. interfere with or disrupt any services or equipment with the intent of causing an excessive or disproportionate load on the infrastructure of Manzzil or its licensors or suppliers;
15. involve the preparation or distribution of non-related home design, remodeling, services content, junk mail, spam, chain letters, pyramid schemes, or other deceptive or unsolicited bulk or commercial email;
16. use any robot, spider, site search/retrieval application, or other manual or automatic device or process to retrieve, index, “data mine” or in any way reproduce or circumvent the navigational structure or presentation of Manzzil or its contents, authentication and security measures;
17. forge headers or otherwise manipulate identifiers in order to disguise the origin of any submission;
18. execute any form of network monitoring or run a network analyzer or packet sniffer or other technology to intercept, decode, mine or display any packets used to communicate between Manzzil servers or any data not intended for you;
19. harvest or collect information about any Manzzil visitors or users without their express consent;

By registering an account on the Website, you acknowledge and agree to the following:

1. To use the full functionality of the Website you need to register and create a profile. During registration you will be requested to provide your Personal Information. You hereby agree to take responsibility, maintain, and update the accuracy of your information. The provided information will be subject to our Privacy Policy.
2. Manzzil at its own discretion may change the Website design, content, services and features.
3. Anything you post, submit, create, or upload to the Website will be referred to as (“Content”), which can include but is not limited to profile pictures, logos, photos, feedback, reviews, comments, or messages.
4. You hereby affirm that you have the ownership and all rights enabling you to use your Content on the Website and to grant us and our affiliates, licensees and sublicensees the full, non-exclusive, perpetual, worldwide, irrevocable rights to use your Content in any way we deem appropriate, without any limitation and to the full extent allowed by the applicable law.
5. We reserve the right to remove fully or partially your Content, permanently or temporary suspend your Website usage or terminate your account at any time without any notice or liability to you. Such actions could occur if you violate those Terms or at our sole discretion. You may close your account at any time by going to account settings and deactivating your account.
6. You hereby agree to take full responsibility if you opt to use or hire professional(s) listed on our directory for their services and acknowledge that Manzzil is not responsible nor warrant in any way the accurate fulfilment of the contracted services between you and the hired professional(s). Please note that we do not run background checks on the professionals listed on the Website nor do we endorse them or guarantee their availability. We encourage you to run your own background checks, check other user’s reviews, and check the licenses and reference projects of the professional(s) you wish to hire.
7. Professionals are displayed on our directory in organic and paid placements. The organic placements depend on several factors such as; volume and quality of relevant reviews, profile completeness and engagement with other users on the Website. The paid placements, which will be marked with a “Sponsored” label, depend on several factors such as; the type of advertisement agreement between Manzzil and the professional, volume and quality of relevant reviews, profile completeness and engagement with other users on the Website. Those factors are continuously tested and may get adjusted from time to time to improve your user experience. You also may receive emails featuring professionals in your geographic location, provided your settings allows us to send you promotional emails.
8. You are not authorized to directly or indirectly promote or advertise your or anyone else’s personal brand, company, business, products or services by your own on the Website. For the avoidance of doubt, you are not allowed to use the Website’s messages, reviews, comments or replies as an advertisement medium for your or anyone else’s personal brand, company, business, services or products. If you want us to promote your business on the Website, you need to enter with us into an advertiser agreement.
9. You are granted a limited non-exclusive license to use our Website. You agree that you are only allowed to use the Website for your own personal use, that you shall not use the Website for any commercial use whatsoever, unless you are registered as a professional or otherwise specifically authorized by Manzzil to do so.
10. By agreeing to these Terms, you agree to receive communication such as but not limited to advertisements, promotions, existing features updates or new features from Manzzil in the form of emails, calls, messages or notifications. If you wish to stop receiving such communication, you can unsubscribe by updating your profile settings or follow the instructions provided in the emails.

By registering an account on the Website, you acknowledge and agree to the following:

1. You can get started by signing up for our free plan, which requires no credit card.
2. Manzzil at its own discretion may change the Website design, content, services and features.
3. While creating your professional account you will be requested to provide personal data, which will be subject to our Privacy Policy.
4. You are responsible for providing accurate and true information about your business. You also agree to maintain and update such information.
5. Your submitted registration request will go through a validation process, which can take up to 48 hours. You agree that the approval of the registration request shall be at Our own sole discretion and without obligation.
6. Anything you post, submit, create, or upload to the Website will be referred to as (“Professional Content”), which can include but is not limited to your business information, profile pictures, logos, projects photos, feedback, reviews, comments, or messages. Your Professional Content must conform to Manzzil’s Acceptable Usage Policy.
7. You hereby affirm that you have the ownership and all rights enabling you to use your Professional Content on the Website and to grant us and our affiliates, licensees and sub-licensees the full, non-exclusive, perpetual, worldwide, irrevocable rights to use your Professional Content in any way we deem appropriate, without any limitation and to the full extent allowed by the applicable law.
8. You agree that Manzzil reserves the right to reject your Professional Content if it does not complement or enhance the Website users’ experience. In such an event you should promptly replace the rejected content with other content acceptable by Manzzil.
9. You are not authorized to directly or indirectly promote or advertise your or anyone else’s personal brand, company, business, products or services by your own on the Website. For the avoidance of doubt, you are not allowed to use the Website’s messages, reviews, comments, or replies as an advertisement medium for your or anyone else’s personal brand, company, business, services or products. If you want us to promote your business on the Website, you need to enter with us into an advertiser agreement.
10. You agree to upload 4 or more high quality photos of your business or projects, and you also agree for Manzzil to add suitable stock photos on your behalf until you add your own in the event your uploaded photos gets rejected by Manzzil as described in the previous provision.
11. You agree that Manzzil at its discretion may access your profile and Professional Content on your behalf to provide you with helpful feedback to improve your profile.
12. You are allowed to create only one profile for your business, and that you are authorized to do so as an employee, representative or owner of this business. You agree to take full responsibility for the acts of anyone having access to your profile on your behalf.
13. You represent and warrant that you always maintain a valid professional license in accordance with the law applicable to your business or services. You are encouraged to upload a copy of your license to your professional profile even if it is not a mandatory prerequisite for the creation of your profile.
14. You acknowledge and agree that Manzzil does not remove negative reviews left to you by other users or professionals as long as such reviews do not violate our Review Policy and Acceptable Usage Policy.
15. Unless you enter into an advertisement agreement with us, you understand that by listing your professional profile on our directory, your appearance in the search results is not guaranteed and is subject to different factors such as completeness of your profile information, quality and number of projects you create, and volume of relevant reviews from your customers or partners.
16. We reserve the right to terminate your account and any agreements between us if we believe you engaged in criminal, illegal or fraudulent behavior, or if you violate any of those Terms. You agree that after termination or deactivation of your account for whatever reason, we will keep showing your Professional Content on our Website and retain your records, unless permanent deletion is requested by you or by the law.
17. You agree to use personal data received through our Website from other users seeking your services only for the intended purpose for which it was provided. You shall protect the confidentiality of the user’s data using appropriate security measures. You may share such data with your subcontractors to the intended purpose of the requested services to the extent authorized by the user to which such data relates to, and it is your responsibility to ensure your subcontractor follows those conditions. It is completely prohibited for you to sell or rent user’s data to any third party in exchange of money or anything else.
18. You agree that you are solely responsible for all your communications through the Website. If a user is not responding to your communications or expressed their preference not to communicate with you, you agree to stop communication attempts with this user.
19. You understand and agree that Manzzil is not involved in any interactions or agreements between you and other users; you hereby agree to take full responsibility for such interactions or agreements. In the event of a dispute between you and any other user, Manzzil reserves the right, but is not obliged, to get involved in any way.
20. You understand and agree that your acceptance to the Terms of this agreement does not make you a representative, partner, or an agent to Manzzil.

Manzzil owns the intellectual property rights upon the Website and all its material such as but not limited to the Website logo, brand, software, and content. For the avoidance of doubt, we have full ownership of all Website material except for your Content or your Professional Content. Consequently, total or partial, direct or indirect, reproduction, modification, distribution, adaptation, loaning, renting, leasing, subleasing, licensing, sublicensing, selling, or exploiting in any way the Website or the material contained in the Website on any medium whatsoever, the use of such materials and the fact to make them available to third parties are formally prohibited.

1. We agree that no transfer of ownership or copyrights of your Content or your Professional Content to us will be applicable under this agreement, you will remain the owner and maintain the copyrights of your Content which is subject to the rights granted to us as specified in this clause. You agree that your Content is in line with these Terms and does not violate the copyrights or intellectual property of any other party, and in case of the occurrence of such violations or infringements, you also agree to take full responsibility of any legal costs and/or financial claims arising because of such violations or infringements.
2. If you believe in good faith that any of the content hosted on our Website violates or infringes your ownership, intellectual property, copyright or trademark rights, you or your representative may email us on copyright@manzzil.com requesting the removal of such content. For us to respond to your request it must include: 1) enough information to enable us to locate this content claimed to be infringing your rights on our Website, 2) proof of your ownership of the content claimed to be infringing your rights, 3) in case you are requesting the removal of the content on behalf of its owner, proof that you are authorized to act on behalf of the owner. We reserve the right not to remove such content if we do not receive the requested information or if we do not agree with your claim or allegation, and in this case, we will only remove the content pursuant to a court order. We strongly advise you to consult your legal advisor before requesting or filing such claims, because penalties or legal actions can be taken against proven false claims.

During your use of the Website and Services, you may enter into correspondence with or participate in promotions of advertisers or sponsors showing their goods or services through the Website and Services. Any such activity with their respective terms, conditions, warranties or representations associated are solely between you and the applicable third party. We shall have no liability, obligation or responsibility for any such correspondence, purchase or promotion between you and any such third party.

By posting a review on the Website you agree that:

1. Your review is in line with our Acceptable Usage Policy.
2. Your review is true, accurate, complete and based on your first-hand experience with the Website listed professional who’s services are the subject of the review.
3. You may submit only one review per professional. If you wish to modify your review or star rating at a later time, you must delete your original review and submit a new one.
4. You are not related in any way or employed by the Website listed professional who’s services are the subject of the review, or related in any way or employed by a competitor of the Website listed professional who’s services are the subject of the review.
5. You will not use your review in any way to extort or claim money from any of the Website listed users or professionals.

If you decide to enable, access or use third party services, be advised that your access and use of such other services are governed solely by the terms and conditions of such other services, and we do not endorse nor are we responsible or liable for, nor do we represent any aspect of such other services, including, without limitation, their content or the manner in which they handle data (including your data) or any interaction between you and the provider of such other services. You irrevocably waive any claim against Manzzil with respect to such other services. Manzzil is not liable for any damage or loss caused or alleged to be caused by or in connection with your enablement, access or use of any such other services, or your reliance on the privacy practices, data security processes or other policies of such other services. You may be required to register for or log into such other services on their respective Websites. By enabling any other services, you are expressly permitting Manzzil to disclose your data as necessary to facilitate the use or enablement of such other service

You shall pay all fees or charges to your account in accordance with the fees, charges, and billing terms in effect at the time a fee or charge is due and payable. We will employ a third-party service provider to process credit card payments.

Occasionally there may be information on the Website that contains typographical errors, inaccuracies or omissions that may relate to product descriptions, pricing, availability, promotions and offers. We reserve the right to correct any errors, inaccuracies or omissions, and to change or update information or cancel orders if any information on the Website or Services is inaccurate at any time without prior notice (including after you have submitted your order). 1. Limitation of liability: To the fullest extent permitted by applicable law, in no event will Manzzil , its affiliates, directors, officers, employees, agents, suppliers or licensors be liable to any person for any indirect, incidental, special, punitive, cover or consequential damages (including, without limitation, damages for lost profits, revenue, sales, goodwill, use of content, impact on business, business interruption, loss of anticipated savings, loss of business opportunity) however caused, under any theory of liability, including, without limitation, contract, tort, warranty, breach of statutory duty, negligence or otherwise, even if the liable party has been advised as to the possibility of such damages or could have foreseen such damages. To the maximum extent permitted by applicable law, the aggregate liability of Manzzil and its affiliates, officers, employees, agents, suppliers and licensors relating to the services will be limited to any amounts actually paid by you to Manzzil . The limitations and exclusions also apply if this remedy does not fully compensate you for any losses or fails of its essential purpose.
2. Indemnification: You agree to indemnify and hold Manzzil and its affiliates, directors, officers, employees, agents, suppliers and licensors harmless from and against any liabilities, losses, damages or costs, including reasonable attorneys’ fees, incurred in connection with or arising from any third party allegations, claims, actions, disputes, or demands asserted against any of them as a result of or relating to your Content or your Professional Content, your use of the Website and Services or any willful misconduct on your part including infringement of Intellectual Property Rights etc.
3. Severability: All rights and restrictions contained in this Agreement may be exercised and shall be applicable and binding only to the extent that they do not violate any applicable laws and are intended to be limited to the extent necessary so that they will not render this Agreement illegal, invalid or unenforceable. If any provision or portion of any provision of this Agreement shall be held to be illegal, invalid or unenforceable by a court of competent jurisdiction, it is the intention of the parties that the remaining provisions or portions thereof shall constitute their agreement with respect to the subject matter hereof, and all such remaining provisions or portions thereof shall remain in full force and effect.
4. Survival: The following provisions will survive expiration or termination of this agreement. Clauses 17(b), 10.

Disclaimer: We are providing you with all the services, material and third-party material and services on an “as is” and “as available” basis, without any kind of warranty, specifically but not limited to, the fulfilment, accuracy, non-infringement, fitness, error free service and any type of warranties which may arise while using the Website. We do not endorse, represent, warrant, or take any responsibility for the accuracy or reliability of any advice, opinion, statement, or other information that is submitted, displayed or uploaded through the Website by any user. We shall not be liable for any direct, indirect, incidental, special or consequential damages, reputational harm, loss of data, lost profits or for business interruption arising out of the use of or inability to use the Website to the maximum extent allowed by the applicable law, even if Manzzil has been advised of the possibility of such damages. Your use of the Website is at your own risk.
6. Governing Law and Dispute resolution: Our Website is based in Dubai, the formation, interpretation, and performance of our Website and this Agreement and any disputes arising out of it shall be interpreted in accordance with the provisions of the Emirate of Dubai and the UAE Federal Laws, as case may be, in the Emirate of Dubai. There is no guarantee that our Website is complaint with laws of other countries. Any dispute that may arise from or in connection with these terms and conditions shall be referred to the exclusive jurisdiction of Dubai Courts.
7. Assignment: You may not assign, resell, sub-license or otherwise transfer or delegate any of your rights or obligations hereunder, in whole or in part, without our prior written consent, which consent shall be at our own sole discretion and without obligation; any such assignment or transfer shall be null and void. We are free to assign any of its rights or obligations hereunder, in whole or in part, to any third party as part of the sale of all or substantially all of its assets or stock or as part of a merger.

Changes and amendments: We reserve the right to modify this Agreement or its terms relating to the Website and Services at any time, effective upon posting of an updated version of this Agreement on the Website. When we do, you will be notified by email and/or Website push notification. Continued use of the Website and Services after any such changes shall constitute your consent to such changes.
9. Strict compliance with laws and regulations: You must ensure strict compliance in accordance with the UAE Federal Law.
10. Notice: Any notice given pursuant to these Terms may be served personally or by email to the last known email address of the addressee. It is the responsibility of Users to promptly update us of any change of address or email address. Such notice shall be deemed to have been duly served upon and received by the addressee, when sent by email 24 hours after the email has been sent.
11. Communication: As part of the Services, you may receive communication through the Services, including messages that we sent to you (for example, via email). When signing up for the Services, you will receive a welcome message and instructions on how to stop receiving certain marketing messages.
