Terms and Conditions

Manzzil LLC maintains the manzzil.com website (“Platform”). The following are the terms and conditions that governs the use of the Platform (“Terms”). We advise you to carefully read the following Terms, because by using the Platform in any way whether you are a registered user or simply browsing the Platform, you hereby agree to those Terms in their entirety. We may revise these Terms from time to time, if we make such changes you will be notified either by email or by receiving a notification on the Platform, but we advise you to check this page periodically to ensure that you are kept informed of any changes. Your continued use of our Platform after such changes becomes effective, means you are subject to the revised Terms.

1. Non-Professional Users Profile Policy

By registering an account on the Platform, you acknowledge and agree to the following:

1. To use the full functionality of the Platform you need to register and create a profile. During registration you will be requested to provide your personal information. You hereby agree to take responsibility, maintain, and update the accuracy of your information. The provided information will be subject to our Privacy Policy.
2. Manzzil at its own discretion may change the Platform design, content, services and features.
3. Anything you post, submit, create, or upload to the Platform will be referred to as (“Your Material”), which can include but not limited to profile pictures, logos, photos, feedback, reviews, comments, or messages.
4. You hereby affirm that you have the ownership and all rights enabling you to use Your Material on the Platform and to grant us and our affiliates, licensees and sublicensees the full, non-exclusive, perpetual, worldwide, irrevocable rights to use Your Material in any way we deem appropriate, without any limitation and to the full extent allowed by the applicable law.
5. We reserve the right to remove fully or partially Your Material, permanently or temporary suspend your platform usage or terminate your account at any time without any notice or liability to you. Such actions could occur if you violate those Terms or at our sole discretion. You may close your account at any time by going to account settings and deactivating your account.
6. Whether you are a registered user or simply browsing the Platform, you will be given access to our directory listing of home professional service providers. If you opt to use or hire professional(s) for their services, you hereby agree to take full responsibility for such services and acknowledge that Manzzil is not responsible nor warrant in any way the accurate fulfilment of the contracted services between you and the hired professional(s). Please note that we do not run background checks on the professionals listed on the Platform nor do we endorse them or guarantee their availability. We encourage you to run your own background checks, check other users reviews, and check the licenses and reference projects of the professional(s) you wish to hire.
7. Professionals are displayed on our directory in an organic and paid placement. The organic placements depend on several factors such as; volume & quality of customers reviews, engagement with other users on the Platform & number of professional’s photos saved by other users. The paid placements, which will be marked with a “Sponsored” label, depend on several factors such as; type of advertisement agreement between us and the professional, volume & quality of customers reviews, engagement with other users on the Platform & number of professional’s photos saved by other users. Those factors are continuously tested and may get adjusted from time to time to improve your user experience. You also may receive emails featuring professionals in your geographic location, provided your settings allows us to send you promotional emails.
8. You are not authorised to directly or indirectly promote or advertise your or anyone else’s personal brand, company, business, products or services by your own on the Platform. For the avoidance of doubt, you are not allowed to use the Platform’s messages, reviews, comments, replies or discussion Forum as an advertisement medium for your or anyone else’s personal brand, company, business, services or products. If you want us to promote your business on the Platform you need to enter with us into an advertiser agreement.
9. You are granted a limited non-exclusive license to use our Platform. You agree that you are only allowed to use the Platform for your own personal use, that you shall not use the Platform for any commercial use whatsoever, unless you are registered as a professional or otherwise specifically authorized by Manzzil to do so.
10. By agreeing to these Terms, you agree to receive communications such as but not limited to advertisements, promotions, existing features updates or new features from Manzzil in the form of emails, calls, messages or notifications. If you wish to stop receiving such communications you can unsubscribe using your profile settings or follow the instructions provided in the emails.

2. Professional Users Profile Policy

By registering an account on the Platform, you acknowledge and agree to the following:

1. You can get started absolutely free by signing up for our Free plan, no credit card required. Or if the Free package features does not meet your needs you can sign up for the Premium plan.
2. Manzzil at its own discretion might change the Platform design, content, services and free and paid plan features.
3. While creating your professional account you will be requested to provide personal data which will be subject to our Privacy Policy.
4. You are responsible for providing accurate and true information about your business. You also agree to maintain and update such information.
5. Anything you post, submit, create, or upload to the Platform will be referred to as (“Pro Material”), which can include but not limited to your business information, profile pictures, logos, projects photos, feedback, reviews, comments, or messages. Your Pro Material must conform to Manzzil’s Acceptable Usage Policy.
6. You hereby affirm that you have the ownership and all rights enabling you to use your Pro Material on the Platform and to grant us and our affiliates, licensees and sublicensees the full, non-exclusive, perpetual, worldwide, irrevocable rights to use your Pro Material in any way we deem appropriate, without any limitation and to the full extent allowed by the applicable law.
7. You agree that Manzzil reserves the right to reject your Pro Material if it does not complement or enhance the Platform users experience, in such event you should promptly replace the rejected content with other content acceptable by Manzzil.
8. You agree to upload 4 or more high quality photos of your business or projects, and you also agree for Manzzil to add suitable stock photos on your behalf until you add your own in the event your uploaded photos gets rejected by Manzzil as described in the previous provision.
9. You agree that Manzzil at its discretion may access your profile and Pro Material on your behalf to provide you with helpful feedback to improve your profile.
10. You are allowed to create only one profile for your business, and that you are authorized to do so as an employee, representative or owner of this business. You agree to take for responsibility for the acts of anyone having access to your profile on your behalf.
11. You should choose while creating your profile a category or activities that applies to your business. If you select a service category or activity that does not fall under home design, services, remodelling or improvement, we reserve the right to delete your account without prior notice.
12. You represent and warrant that you always maintain a valid professional licence in accordance with the law applicable to your business or services. You are encouraged to upload a copy of your license to your professional profile even if it is not a mandatory prerequisite for the creation of your profile.
13. You agree to grant us the right to list your profile in our directory if you register on the Platform as a professional service provider and are subject to our Professionals Policy.
14. You acknowledge and agree that Manzzil does not remove negative reviews left to you by other users or professionals as long such reviews do not violate our Review Policy and Acceptable Usage Policy.
15. Unless you enter into an advertisement agreement with us, you understand that by listing your professional profile on our directory, your appearance in the search results is not guaranteed and is subject to different factors such as completeness of your profile information, quality and number of projects you create and reviews from your customers.
16. We reserve the right to terminate your account and any agreements between us if we believe you engaged in criminal, illegal or fraudulent behaviour, or if you violate any of those Terms. You agree that after termination or deactivation of your account for whatever reason, we will keep showing your Pro Material on our platform and retain your records, unless permanent deletion is requested by you or by the law.
17. You agree to only use personal data received through our platform from other users seeking your services only for the intended purpose for which it was provided. You shall protect the confidentiality of the users data using appropriate security measures. You may share such data with your subcontractors to the intended purpose of the requested services to the extent authorised by the user to which such data relates to, and it is your responsibility to ensure your subcontractor follows this provision conditions. It is completely prohibited for you to sell or rent users data to any third party in exchange of money or anything else.
18. You agree that you are solely responsible for all your communications through the platform. If a user is not responding to your communications or expressed their preference not to communicate with you, you agree to stop communication attempts with this user.
19. You understand and agree that Manzzil is not involved in any interactions or agreements between you and other users, you hereby agree to take full responsibility for such interactions or agreements. In the event of a dispute between you and any other user, Manzzil reserves the right, but not obliged, to get involved in any way.
20. You understand and agree that your acceptance to the Terms of this agreement does not make you a representative, partner, or agent to Manzzil.

3. Acceptable Usage Policy

As part of Manzzil’s Acceptable Use Policy, you agree not to use the information, services or any other part of Manzzil to take any action or actions that:

1. are contrary to Manzzil public image, goodwill or reputation;
2. promote any illegal activity or content, including without limitation child or animal abuse, violence, illegal drug use, and underage drinking;
3. infringe on our or any third party’s copyright, patent, trademark, trade secret or other proprietary rights or rights of publicity or privacy;
4. express or imply that any of your statements, activities or causes are endorsed by us, without our prior written consent in each instance;
5. violate any applicable law, statute, ordinance or regulation, or encourage any conduct that could constitute a criminal offense or give rise to civil liability;
6. are libelous, defamatory, threatening, harassing, invasive of privacy, abusive, tortious, hateful, discriminatory, pornographic or obscene;
7. transmit any trade secret or other material, non-public information about any person, company or entity without the authorization to do so;
8. restrict or inhibit any other visitor from using Manzzil, including, without limitation, by means of “hacking” or defacing any portion of the Platform;
9. modify, adapt, sub-license, translate, sell, reverse engineer, decompile, or disassemble any portion of Manzzil
10. remove any copyright, trademark, or other proprietary rights notices contained in Manzzil;
11. sublicense, sell, rent, lease, transfer, assign, or convey any rights under the Terms to any third party, or otherwise commercially exploit or profit from the information or content of Manzzil or any portion thereof, in any manner whatsoever, except as expressly permitted herein;
12. “frame” or “mirror” any part of Manzzil without our prior written authorization;
13. distribute any virus, worm or other similar or deleterious files, scripts or programming routines;
14. interfere with or disrupt any services or equipment with the intent of causing an excessive or disproportionate load on the infrastructure of Manzzil or its licensors or suppliers;
15. involve the preparation or distribution of non-related home design, remodelling, services content, junk mail, spam, chain letters, pyramid schemes, or other deceptive or unsolicited bulk or commercial email, or violate in any way the Controlling the Assault of Non-Solicited Pornography and equivalent applicable law;
16. use any robot, spider, site search/retrieval application, or other manual or automatic device or process to retrieve, index, “data mine” or in any way reproduce or circumvent the navigational structure or presentation of Manzzil or its contents, authentication and security measures;
17. forge headers or otherwise manipulate identifiers in order to disguise the origin of any submission;
18. execute any form of network monitoring or run a network analyzer or packet sniffer or other technology to intercept, decode, mine or display any packets used to communicate between Manzzil servers or any data not intended for you;
19. harvest or collect information about any Manzzil visitors or members without their express consent; and/or
20. contains any reference to or likeness of any identifiable third parties, unless consent has been obtained from all such individuals and their parent/legal guardian if they are under the age of majority in their jurisdiction of residence.

4. Discussion Forum Policy

Welcome to our growing community of enthusiastic homeowners, renters, designers, contractors, and service providers. Our goal is to foster conversations that are helpful, informative, and fun. We very much would like you to help us do just that, so here are some guidelines derived from the AUP for how to participate:

1. Spam: Zero tolerance, of course! If it comes from a human or a robot, spam will be deleted. This includes self-promotion. Promoting your business or services here will be treated like any other spam. Also posting the same content multiple times is considered spam.
2. Personal attacks: Do not attack or insult another user. It’s not helpful and it doesn’t make the Forum a friendly place. This includes calling other users bots or trolls.
3. Doxxing: Do not reveal someone else’s personal information or post about individual users.
4. Illegal activities: Posting links to illegal downloads, ways to steal service, and other nefarious activity is not OK here.
5. Not Safe For Work material: Nope, NSFW material is not allowed. Even images or links that could be considered borderline are not acceptable and we reserve the right to remove any post we deem offensive. This goes for pornographic material, nudity, profanity, vile language, violence, gore or other potentially disturbing material.
6. Racism, sexism, and other discrimination: Attacking entire classes of people is just like attacking a single person: we will ban you for it.
7. Trolling: Trolling is a very general term, but we know what trolls are and we will not tolerate it. If you are abusing the good conversations here at the Forum, we will take your comments and posts down. This includes taking a thread off-topic, by the way.
8. Spreading misinformation: We are not a platform for spreading conspiracy theories and misinformation and will remove posts promoting obvious falsehoods.
9. Commenting on someone’s physical appearance, voice, or style: Let us keep discussion to the content, please. Even if you are writing what you consider a compliment, it will be removed.
10. Cross posting: Do not make duplicate posts across different discussion threads, it clogs things up and fractures the conversation.
11. Home-related: Discussions or threads that are home-related. Irrelevant content may be removed. Decisions as to what is considered irrelevant is entirely at the discretion of the Manzzil administrator.
12. Multiple accounts: If you have access to more than one account and use them to post in the same discussion or to coordinate flagging of the same content, any accounts used for this purpose may be subject to permanent removal from the Platform.

If you see something in the discussion Forum that may be in violation of these guidelines, Privacy Policy, or our Terms, please flag it by clicking on the “Flag” button next to the content in question to alert our team to the content that should be reviewed for violations. Please note that we are not obliged to share with you what happened as a result of your flagging or reporting, or whether and action was taken or not.

We reserve the right to remove without any warning the posts which violates these guidelines, Privacy Policy, or our Terms.

5. Review Policy

By posting a review on the Platform you agree that

1. Your review is in line with our Acceptable Use Policy
2. Your review is true, accurate, complete and based on your first-hand experience with the Platform listed professional who’s services are subject of the review
3. You are not related in any way or employed by the Platform listed professional who’s services are the subject of the review, or related in any way or employed by a competitor of the Platform listed professional who’s services are subject of the review
4. You will not use your review in way to extort or claim money from any of the Platform listed users or professionals.
5. Intellectual Property, Copyright & Trademark
   1. Manzzil LLC owns the intellectual property right upon the Platform and all its material such as but not limited to the Platform logo, brand, software, and content. For the avoidance of doubt, we have full ownership of all Platform material except for Your Material. Consequently, total or partial, direct or indirect, reproduction, modification, distribution, adaptation, loaning, renting, leasing, subleasing, licensing, sublicensing, selling, or exploiting in any way the Platform or the material contained in the Platform on any medium whatsoever, the use of such materials and the fact to make them available to third parties are formally prohibited.
   2. We agree that no transfer of ownership or copy rights of Your Material to us will be applicable under the Usage Policy, you will remain the owner and maintain the copyrights of Your Material which is subject to the rights granted to us as specified in this clause. You agree that Your Material is in line with these Terms and does not violate the copyrights or intellectual property of any other party, and in case of the occurrence of such violations or infringements, you also agree to take full responsibility of any legal costs and/or financial claims arising because of such violations or infringements.
   3. If you believe in good faith that any of the content hosted on our Platform violates or infringes your ownership, intellectual property, copyright or trademark rights, you or your representative may email us on copyright@manzzil.com requesting the removal of such content. For us to respond to your request it must include; 1) enough information to enable us to locate this content claimed to be infringing your rights on our Platform, 2) a proof of your ownership of the content claimed to be infringing your rights, 3) in case you are requesting the removal of the content on behalf of its owner, a proof that you are authorized to act on behalf of the owner to be provided. We reserve the right not to remove such content if we don’t receive the requested information or if we do not agree with your claim or allegation, and in this case, we will only remove the content pursuant to a court order. We strongly advise you to consult your legal advisor before requesting or filing such claims, because penalties or legal actions can be taken against proven false claims.

7. Disclaimer

WE ARE PROVIDING YOU WITH ALL THE SERVICES, MATERIAL AND THIRD-PARTY MATERIAL AND SERVICES ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY KIND OF WARRANTY, SPECIFICALLY BUT NOT LIMITED TO, THE FULFILMENT, ACCURACY, NON-INFRINGEMENT, FITNESS, ERROR FREE SERVICE AND ANY TYPE OF WARRANTIES WHICH MAY ARISE WHILE USING THE PLATFORM. WE DO NOT ENDORSE, REPRESENT, WARRANT, OR TAKE ANY RESPONSIBILITY FOR THE ACCURACY OR RELIABILITY OF ANY ADVICE, OPINION, STATEMENT, OR OTHER INFORMATION THAT IS SUBMITTED, DISPLAYED OR UPLOADED THROUGH THE PLATFORM BY ANY USER. WE SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES, REPUTATIONAL HARM, LOSS OF DATA, LOST PROFITS OR FOR BUSINESS INTERRUPTION ARISING OUT OF THE USE OF OR INABILITY TO USE THE PLATFORM TO THE MAXIMUM EXTENT ALLOWED BY THE APPLICABLE LAW, EVEN IF MANZZIL LLC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. YOUR USE OF THE PLATFORM IS AT YOUR OWN RISK.

8. Indemnification

YOU AGREE TO FULLY INDEMNIFY, DEFEND, AND HOLD THE MANZZIL ENTITIES AND THEIR DIRECTORS, OFFICERS, EMPLOYEES, CONSULTANTS, AND OTHER REPRESENTATIVES, HARMLESS FROM AND AGAINST ANY AND ALL CLAIMS, DAMAGES, LOSSES, COSTS, ATTORNEYS’ FEES, AND OTHER EXPENSES THAT ARISE DIRECTLY OR INDIRECTLY OUT OF OR FROM YOUR USE OR MISUSE OF THE PLATFORM OR ANY OTHER WEBSITES LINKED TO THE PLATFORM, BREACHING ANY OF THE TERMS, VIOLATING THE COPYRIGHTS OR INFRINGING THE INTELLECTUAL PROPERTIES OF ANY THIRD PARTY BY YOUR MATERIAL.

9. Dispute Resolution and Governing Law
   1. You agree in case of any dispute with Manzzil LLC to reach out to us first to attempt to resolve the issue informally.
   2. Any dispute with Manzzil arising out of the formation, performance, interpretation, nullification, termination, or invalidation of this agreement or arising therefrom or related thereto in any manner whatsoever, shall be settled by arbitration in accordance with the provisions set forth under the DIAC Arbitration Rules (“the Rules”), by one or more arbitrators appointed in compliance with the Rules.
   3. This Agreement shall be governed by and construed in accordance with the laws of UAE. All disputes arising out of or in connection with this agreement shall be finally settled by the Dubai courts. The parties have required that these Terms and all related documents be drawn up in English language. The Platform will not deal or provide any services or products to any of OFAC sanctions countries in accordance with the law of UAE.
   4. If you have any dispute with any other Platform user or users, you agree that Manzzil LLC, its directors, officers, and employees are not in any way responsible, liable, or obliged to get involved and are released from claims, demands, and damages of every kind or nature, known or unknown, suspected, or unsuspected, disclosed, or undisclosed, arising out of or in any way related to such disputes.
10. Miscellaneous
    1. This binding agreementis written and executed in the English language. Any translation into any other language shall be at our sole discretion, and in the event of any conflict in interpretation between the English version and such translation, the English version shall prevail.
    2. Headings & section titles in this agreement are for convenience and do not define, limit, or extend any provision of this agreement.
    3. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions of these Terms will remain in full force and effect.
    4. The following provisions will survive expiration or termination of this Agreement: Clause 1.d, Clause 2.f, Clause 6, Clause 7, Clause 8, clause 9 and Clause 10
    5. These Terms constitute the entire agreement between you and us regarding the Platform. This agreement supersedes all prior agreements between you and us regarding the Platform.
